AI Financial's Sale of Subsidiary Highlights Liquidity Woes, Trading $23M Business for $1M Cash and Uncertain Future Payments
Facing substantial doubt about its ability to continue operations, AI Financial Corp. has sold a subsidiary for primarily deferred payments, securing only $1 million in near-term cash. The company is also relying on the potential, but conditional, transferability of billions of WLFI crypto tokens to improve its precarious financial standing.

AI Financial Corp. has completed the divestment of its subsidiary, ALT5 Sigma Canada, in exchange for a secured note and restricted shares, a transaction that underscores the company's challenging financial position. The deal provides just $1 million of principal in the immediate future, even as a separate, conditional opportunity for liquidity through WLFI tokens approaches.
Details of the Transaction
On August 3, AI Financial finalized the sale of its indirect, wholly-owned subsidiary to a company named Prime Delta. According to the terms that were publicly disclosed on August 7, AI Financial Corp. obtained a $12 million secured promissory note along with 11,551,750 restricted shares of Prime Delta. A key stipulation requires Prime Delta to pay the initial $1 million of the note's principal on August 11.
The payment structure for the remaining $11 million is contingent on Prime Delta's future financial success. This balance is set to be paid from 20% of the company's post-closing equity financings. Should those proceeds be insufficient to clear the debt, an alternative repayment plan will activate, consisting of four annual installments of $2.75 million each, starting on August 3, 2027. The promissory note accrues interest at a 4% annual rate. To secure the debt, the note is backed by all of Prime Delta's assets and is further guaranteed by three separate third parties.
Exchanging an Operating Business for Future Payments
This agreement effectively trades an active operating subsidiary for consideration that is mostly deferred, rather than providing a significant influx of cash at the time of closing. In 2025, the sold subsidiary, ALT5 Sigma Canada, had generated $23.5 million in revenue but also incurred a net loss of $3.3 million. This followed a more successful 2024, during which the subsidiary recorded $15.5 million in revenue and a $600,000 profit.
AI Financial's Precarious Position
The context for this sale is AI Financial's own financial instability. In its May 18 report for the quarter that ended on March 28, the company disclosed a cash position of just $10.5 million while reporting the use of $12.3 million in cash for operations during that period. The report also revealed a staggering $271.3 million loss from continuing operations, a working-capital deficit, and an admission of substantial doubt regarding its ability to continue as a going concern. Viewed against this backdrop, the sale provides a near-term claim to only $1 million, leaving the bulk of the note's value dependent on future financing events or lengthy installment plans.
Banking on Crypto Token Liquidity
In a June 10 management update, the company suggested its financial situation had improved, specifically pointing to its holdings of World Liberty Financial (WLFI) tokens. AI Financial announced its expectation that 3,583,585,650 of its WLFI tokens would become transferable on August 12. However, this transferability is contingent upon the effectiveness of a resale registration statement that covers shares issued to World Liberty Financial as well as shares underlying the warrants granted to it.
AI Financial was also quick to caution that the potential availability of these tokens should not be interpreted as an immediate intention to sell them. The company clarified that transferability would merely create an option for liquidity, not generate cash on its own.
Further complicating the matter, the company’s quarterly report from May 18 stated that it had not yet filed the necessary resale registration statement. Moreover, a review of public SEC submissions available through August 8 revealed no filings indicating that this condition for transferability had been met.
An Uncertain Path Forward
Ultimately, the transaction does little to alleviate AI Financial's immediate liquidity pressures. The first major test will be whether Prime Delta successfully delivers the $1 million payment scheduled for August 11. The day after, on August 12, attention will turn to the much larger potential liquidity event tied to the WLFI tokens, which remains conditional and uncertain.
